Jim is exactly right about the various ways transactions can be
structured.
The relevance of this transaction to TenTec and Alpha users is probably
the fact that there are some dedicated, and seasoned, owner-operators
who apparently know what they are doing. This is probably a very good
thing for TenTec and Alpha users. Time will tell, of course.

There is nothing sinister per se in that. Many private transactions
are
structured that way for very good and important reasons. Maybe there
are
contingent liabilities, potential lawsuits, employee relations, etc
that
the new owners wish to be free from. Maybe the structure of the seller
was
such that there were critical tax implications that made selling the
company stock disadvantageous.
I've done transactions both ways, transferring stock and transferring
assets. Neither is preferable in the abstract. That devil is always
found
in the details.
Since it was a privately owned company that sold to another privately
owned
company we will never know what the motivations and driving factors
were in
the transaction they presumably negotiated to mutual satisfaction.

Important detail, RKR designs purchased the assets and trademarks,
NOT
the companies. Not good news at all.

I don't know all the names, but the gist of it seems to be that the
(or
one of the) subcontractors has decided to purchase the company.
What I don't know is if the subcontractor was also owned (in whole or
in
part) by one or more of the owners of RFC.
One does have to wonder what's going on. Is this merely a bookeeping
matter, or is there more to the story? (And how much, if any, of that
is
any of our business... outside of wanting to make sure that Ten Tec
continues to thrive)
Interesting, to say the least.

It looks to me like it is the same group of people but now under a
different
business entity.
Interesting.
